Service Provider Agreement

1. Parties and purpose

This Service Provider Agreement (the "Agreement") is between The Naughty Cult Ltd., Stefan Karadzha Street 10, Floor 3-4, Sofia 1000, Bulgaria (the "Provider", "we", "us"), and you, the creator whose studio we operate (the "Client", "you").

It governs the work we perform on your behalf through AtheneVIP at athenevip.ai (the "Service"): producing, storing, and delivering media built around you and your content. It supplements our Terms of Service. If the two conflict for work we perform on your behalf, this Agreement prevails.

2. The services we provide

  • We set up and operate a private studio for you on the Service.
  • On your instructions, we generate images, short videos, and audio from the prompts and reference material you provide (your "Materials").
  • We store the results in your library and make them available for you to download.
  • We provide reasonable support for your use of the studio.

3. Our commitments to you

  • We act on your Materials solely on your behalf and on your instructions. We will never use them for any purpose other than serving you.
  • We do not use your Materials or the media we produce for you to train machine-learning models.
  • We keep your Materials and your library confidential. Nobody outside your studio can browse them, and inside our team access is limited to what operating the Service and supporting you requires.
  • We protect your Materials with the security measures described in our Privacy Policy.

4. Your obligations

  • You confirm that you own or control all rights in the Materials you give us, including the right to use the likeness and voice of every person who appears in them. Where that person is not you, you have their explicit written consent.
  • You instruct us only to produce media that is lawful and consistent with the acceptable-use rules in the Terms of Service.
  • You are responsible for how you use the media we deliver, including compliance with the terms and content policies of any platform where you publish it. Violations caused by your instructions or your use of the media are treated as your own.
  • You keep your account access secure and tell us immediately at contact@athenevip.ai if you suspect unauthorized use of your studio.

5. Ownership and license

You own your Materials, and you own the media we produce for you, as set out in the Terms of Service. You grant us only the limited license we need to host, process, and deliver that content while operating the Service. We claim no other rights in it.

6. Likeness

You authorize us to process your likeness and voice, as captured in your Materials, for the sole purpose of producing media at your request. You can withdraw this authorization at any time by closing your studio; withdrawal applies going forward and does not affect media already produced and delivered to you.

7. Fees

Our work is paid through the credit system described in the Terms of Service. The rates for each kind of media are shown in the studio before you start a generation.

8. Term and termination

  • This Agreement applies for as long as you have a studio on the Service.
  • You can end it at any time by asking us to close your studio and delete your account.
  • We can suspend or end it if you breach this Agreement or the Terms of Service, or if continuing would create legal or security risk. Where the breach can be fixed, we will normally warn you first.
  • When the Agreement ends, we delete your Materials and library as described in the Privacy Policy. Download anything you want to keep before closing your studio.

9. Warranties and liability

Media generated by machine-learning systems varies, and we cannot guarantee any particular result. The disclaimers and limitations of liability in the Terms of Service apply to this Agreement in the same way.

10. General

  • We act as an independent service provider. This Agreement does not create an employment relationship, partnership, or joint venture.
  • This Agreement, the Terms of Service, and the Privacy Policy together are the entire agreement between us about the Service.
  • If a provision of this Agreement turns out to be invalid, the rest stays in force.
  • This Agreement is governed by the laws of Bulgaria, and the courts of Sofia, Bulgaria have jurisdiction, without limiting mandatory protections you have as a consumer in your country of residence.
