Terms of Service

1. Who we are

AtheneVIP, available at athenevip.ai (the "Service"), is operated by The Naughty Cult Ltd., a company registered in Bulgaria with its address at Stefan Karadzha Street 10, Floor 3-4, Sofia 1000, Bulgaria ("we", "us", "our"). You can reach us at contact@athenevip.ai.

By creating an account or using the Service you agree to these Terms of Service (the "Terms"), together with our Privacy Policy and, where it applies to work we perform on your behalf, our Service Provider Agreement. If you do not agree, do not use the Service.

2. What the Service is

AtheneVIP is an invite-only online studio where content creators produce media for their social media channels. The Service uses machine-learning systems to generate images, short videos, and audio (together, "Generated Media") from the instructions, prompts, and reference material you provide ("Your Inputs").

The Service is under active development. Features, pricing, and availability can change, and we do not promise that any particular feature will remain available.

3. Eligibility and accounts

• You must be at least eighteen (18) years old to use the Service.
• Access is by invitation. We decide at our discretion who receives an invitation and may decline or revoke invitations.
• Signing in is passwordless: we email a sign-in link to the address on your account. You are responsible for keeping that mailbox secure and for all activity that happens under your account. Tell us right away at contact@athenevip.ai if you suspect unauthorized access.
• The information you give us when creating your account must be accurate.

4. Acceptable use

When using the Service, you agree not to:

• break any applicable law or regulation;
• upload material or generate media that infringes someone else's intellectual property, privacy, or publicity rights;
• create media depicting a real person without that person's explicit consent. Media that sexualizes minors in any way is strictly prohibited and will be reported to the authorities;
• use Generated Media to deceive, for example by presenting it as authentic footage of events that did not happen, or by impersonating someone in a misleading way;
• upload malware, probe or disrupt the Service, attempt to access other accounts, reverse engineer the Service, or scrape it;
• resell, rent out, or share access to your account or studio.

We may remove content and limit, suspend, or terminate accounts that we reasonably believe violate these rules.

5. Your Inputs and Generated Media

• You keep ownership of Your Inputs. You warrant that you have all rights needed to use them on the Service, including the consent of any person shown or heard in them.
• To the extent we hold any rights in Generated Media created for your account, we assign them to you when the media is delivered, subject to your compliance with these Terms. You may use your Generated Media commercially.
• You grant us a limited license to host, store, process, and display Your Inputs and Generated Media, only as needed to operate the Service, provide support, and prevent abuse.
• We do not use Your Inputs or Generated Media to train machine-learning models.
• Machine-learning systems can produce similar output for different people. We cannot promise that media generated for you is unique, and you gain no exclusive rights in any style, concept, or model behavior.
• You are responsible for reviewing Generated Media before publishing it and for how you use it after download.

6. Credits and payment

• Creating media costs credits. The current rates are shown in the studio before you start a generation. Failed generations are refunded automatically.
• Your studio may include a monthly credit allowance. Unless we state otherwise, unused allowance does not carry over.
• You can buy additional credits. Payments are handled by a third-party payment processor; we do not store your full card details. You are responsible for any applicable taxes.
• Credits are prepaid usage units, not money. They are non-transferable and have no cash value. Spent credits are not refundable except where the law requires it.
• Where consumer law gives you a right of withdrawal for credit purchases, you agree that credits become available immediately and that the right of withdrawal lapses for credits you have already spent.
• Optional auto top-up, when you enable it, charges your saved payment method when your balance runs low. You can turn it off at any time in the studio.
• Price changes apply going forward and never to credits you already hold.

7. Third-party platforms

You decide where to publish your Generated Media. Complying with the terms, policies, and disclosure rules of those platforms, including any rules on labeling synthetic or AI-generated content, is your responsibility.

8. Suspension and termination

• You can stop using the Service at any time and ask us to delete your account by writing to contact@athenevip.ai.
• We may limit, suspend, or terminate your account if you breach these Terms, if we suspect illegal activity, or if keeping the account creates legal or security risk for us or others.
• If we close your account without cause, we will refund unspent purchased credits. If we close it for a breach of these Terms, we may withhold that refund where the law allows.
• We may discontinue the Service. If we do, we will give you reasonable notice and a chance to download your library.

9. Disclaimers

The Service is provided "as is" and "as available". Generated Media is produced by machine-learning systems and can be inaccurate, imperfect, or different from what you expected. We do not warrant that the Service will be uninterrupted, error-free, or that any particular output can be achieved.

10. Liability

To the extent permitted by law, our total liability to you for claims arising out of or related to the Service is limited to the amount you paid us in the twelve (12) months before the event giving rise to the claim, and we are not liable for indirect or consequential damages, lost profits, or lost data. Nothing in these Terms limits liability that cannot be limited by law, including liability for intent or gross negligence.

11. Indemnity

You agree to indemnify and hold us harmless from claims, damages, and reasonable costs arising from Your Inputs, your use of Generated Media, or your breach of these Terms.

12. Changes to these Terms

We may update these Terms. For material changes we will notify you through the Service or by email before they take effect. If you keep using the Service after that, the updated Terms apply.

13. Governing law and disputes

These Terms are governed by the laws of Bulgaria, and the courts of Sofia, Bulgaria have jurisdiction over disputes arising from them. If you are a consumer in the EU, you also keep the protections granted by the mandatory consumer laws of the country you live in. We will always try to resolve disputes with you directly first: write to contact@athenevip.ai.
